1. Acceptance of Terms

By creating an account, accessing, or using the NexusTrade platform ("Platform," "Service," "Company," "we," "our"), the user ("User," "you," "your") agrees to be bound by these Terms and Conditions ("Terms"), the Privacy Policy, and any additional product-specific policies published by the Company. If you do not agree to these Terms, do not use the Platform.

2. Description of Service

NexusTrade provides an automated algorithmic trading bot service ("Bot Service") that executes trades on behalf of users in cryptocurrency markets, primarily involving PAXG (Pax Gold) and USDT pairs. The Platform offers subscription-based membership tiers ("Licenses," "Tiers") that provide access to varying levels of Bot Service features, execution speeds, and operational parameters.

The Company acts as an intermediary and technology service provider. The Company does not execute trades directly but facilitates connection to third-party cryptocurrency exchanges via API keys provided by the User.

3. Eligibility and Account Registration

3.1. Users must be at least 18 years of age and have legal capacity to enter into binding contracts.

3.2. Users must provide accurate, current, and complete information during registration and keep their account details updated.

3.3. Users are solely responsible for maintaining the confidentiality of their account credentials and API keys.

3.4. Each user may maintain only one (1) active account unless expressly authorized in writing by the Company.

4. License Tiers and Subscriptions

4.1. The Platform offers three membership tiers: Initiate, Elite, and Overlord. Each tier provides distinct features, execution parameters, and pricing as displayed on the Platform at the time of purchase.

4.2. Licenses are billed on a subscription basis (monthly or annual) as selected by the User at the time of purchase.

4.3. All fees are non-refundable except as expressly stated in these Terms or as required by applicable law.

4.4. The Company reserves the right to modify pricing, features, or tier structure at any time with reasonable notice posted on the Platform.

4.5. Downgrading a license tier will take effect at the next billing cycle. Upgrades take effect immediately with prorated billing.

5. Bot Operations and Trading Risks

6. User Funds and Wallet Management

6.1. Users deposit and withdraw USDT funds through the Platform's vault system. Funds held in user wallets are the responsibility of the User.

6.2. Deposits to the Bot Service are transferred from the User's wallet to a Bot Operational Balance controlled by the Platform's trading engine.

6.3. 45-Day Initial Lock: Upon a User's first deposit to the Bot Service, a 45-calendar-day lock period begins. No withdrawals from the Bot Operational Balance are permitted during this initial lock period. This restriction applies to each User's first deposit event only.

6.4. Withdrawal Fees: After the 45-day lock expires, withdrawals are subject to the following fee schedule based on the age of the User's Bot Operational Balance:

6.5. Weekly Withdrawal Windows: Bot withdrawals are processed exclusively during the weekly withdrawal window: Friday 6:00 PM to Sunday 11:59 PM (Server Time). Withdrawals requested outside this window will be queued and processed during the next available window.

6.6. The Company reserves the right to delay or suspend withdrawals during periods of extraordinary market volatility or technical emergencies.

7. Exchange Connections and API Keys

7.1. Users are solely responsible for the configuration, security, and management of their exchange API keys.

7.2. API keys must have trading permissions enabled for the Bot Service to function. The Company recommends enabling read-only permissions for balance inquiries and restricting IP access where possible.

7.3. The Company bears no responsibility for losses arising from exchange API malfunctions, exchange policy changes, exchange suspension of services, or unauthorized access to a User's exchange account.

7.4. Users acknowledge that third-party exchanges operate under their own terms and conditions, and the Company has no control over exchange operations, maintenance windows, or trading policies.

8. Referral Program

8.1. The Platform operates a multi-level referral program where existing Users can earn commissions by referring new Users.

8.2. License Purchase Commissions: Referrers may earn a percentage of the license tier purchase price when a referred User purchases or renews a membership tier. Commission rates vary by referral level (1–12) and are configurable by the Company.

8.3. Bot Earnings Commissions: Referrers may earn a percentage of the trading profits generated by the Bot Service for their referred Users. These commissions are calculated daily but paid out on a weekly basis.

8.4. Referral commissions are subject to the referral level requirements set by the Company. Some levels may require minimum bot balance or specific license tiers to unlock commission eligibility.

8.5. The Company reserves the right to modify referral commission rates, eligibility requirements, or program structure at any time with reasonable notice.

8.6. Fraudulent or artificial referral activity (including self-referrals, fake accounts, or manipulation of the referral system) will result in forfeiture of commissions and account suspension.

9. Limitation of Liability

10. No Financial Advice

10.1. The Company does not provide investment, legal, tax, or financial advice. Any information shared through the Platform — including Bot performance data, earnings projections, market analysis, or tier comparisons — is for informational purposes only and should not be construed as personalized investment advice.

10.2. Users should consult with a qualified financial advisor before making any investment decisions. Users bear full responsibility for their trading decisions and the outcomes thereof.

11. Data and Privacy

11.1. The Company collects, processes, and stores user data in accordance with its Privacy Policy, available on the Platform.

11.2. Users consent to the collection and use of their personal data, trading data, and usage metrics for Platform operation and improvement purposes.

11.3. The Company employs industry-standard encryption and security measures but cannot guarantee absolute data security due to the inherent nature of internet communications.

11.4. Users are responsible for ensuring their devices and accounts are secure to protect their personal data and Platform access.

12. Prohibited Use

12.1. Users agree not to use the Platform for any unlawful purpose, including but not limited to: money laundering, financing of terrorism, fraud, market manipulation, or any activity prohibited by applicable law.

12.2. Users shall not attempt to reverse-engineer, disassemble, decompile, or otherwise exploit the Platform's source code, algorithms, or trading logic.

12.3. Users shall not use automated bots, scrapers, or scripts that interact with the Platform without prior written authorization from the Company.

12.4. Violation of these prohibitions may result in immediate account suspension, forfeiture of funds, and referral to law enforcement authorities.

13. Service Availability and Interruptions

13.1. The Company does not guarantee uninterrupted or continuous availability of the Platform or Bot Service.

13.2. Scheduled maintenance windows will be communicated to Users via the Platform with reasonable advance notice when practicable.

13.3. The Company shall not be liable for service interruptions due to: internet service provider failures, exchange downtime, third-party API failures, force majeure events (including natural disasters, pandemics, wars, or government actions), or security incidents.

13.4. The Company reserves the right to suspend or modify Bot Service parameters at any time without prior notice to protect User funds or comply with regulatory requirements.

14. Indemnification

14.1. Users agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, affiliates, and successors from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: the User's use of the Platform, the User's violation of these Terms, the User's violation of any third-party rights, or any fraudulent or unlawful activity conducted through the User's account.

15. Intellectual Property

15.1. All content, design, code, algorithms, trading logic, trademarks, service marks, and intellectual property associated with the Platform are the exclusive property of the Company and are protected by applicable intellectual property laws.

15.2. Users are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose during the active subscription period.

15.3. Users shall not copy, reproduce, distribute, display, or create derivative works from any Platform content without prior written consent of the Company.

16. Modification of Terms

16.1. The Company reserves the right to modify, amend, or replace these Terms at any time at its sole discretion.

16.2. Material changes to these Terms will be communicated to Users via email or Platform notification with at least 14 days' notice prior to the effective date of the new Terms, except where immediate changes are required for legal, security, or operational reasons.

16.3. Continued use of the Platform following the effective date of modified Terms constitutes acceptance of the new Terms by the User.

17. Termination

17.1. Users may terminate their account at any time by contacting the Company or using the self-service account closure feature if available.

17.2. The Company may suspend or terminate any User account immediately, without prior notice, if: the User violates these Terms; the User engages in fraudulent activity; the User's actions expose the Company or other Users to legal or financial risk; or as required by law or regulatory authority.

17.3. Upon account termination: subscription fees are non-refundable; pending referral commissions may be forfeited; Bot Operational Balances are subject to the withdrawal procedures described in Section 6; and all data associated with the account may be deleted in accordance with the Privacy Policy.

18. Dispute Resolution

18.1. These Terms are governed by and construed in accordance with the laws of the jurisdiction in which the Company is registered, without regard to conflict of law principles.

18.2. Any dispute arising out of or related to these Terms or the use of the Platform shall be resolved through binding arbitration in accordance with the rules of the designated arbitration body. Users waive their right to participate in a class action lawsuit or class-wide arbitration.

18.3. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be severed from these Terms, and the remaining provisions shall remain in full force and effect.
